1) Acceptance of Terms & Changes

These Terms & Conditions (“Terms”) govern your access to and use of the websites, applications, and services provided by resify.ai (“Resify,” “we,” “us,” or “our”). By accessing or using the Service, you agree to these Terms.

We may modify these Terms from time to time. If we make material changes, we will provide reasonable notice (e.g., by updating the “Last updated” date and/or providing in-product notice). Your continued use after changes become effective constitutes acceptance.

2) Service Definition & License

The “Service” includes Resify’s resume tailoring tools, ATS insights, content generation features, dashboards, and related sites, apps, and integrations (which may change over time). Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Service for personal, non-commercial purposes. We may suspend or discontinue any part of the Service at any time.

You are responsible for obtaining and maintaining all equipment and connections necessary to use the Service, and any charges associated with your internet or mobile usage.

3) Accounts, Eligibility & Credentials

• Registration. You may need an account to use certain features. Provide accurate, current information and keep it updated.
• Eligibility. You represent that you are at least 18 years old and have not been previously suspended from the Service.
• Credentials. Keep your login credentials confidential and notify us immediately of unauthorized use. You are responsible for activities under your account.

4) Acceptable Use

You will not (and will not permit others to):

• Copy, modify, reverse engineer, or create derivative works of the Service except as expressly permitted.
• Access non-public areas, probe or scan systems, or breach security or authentication measures.
• Interfere with or disrupt any user, host, or network; send malware; or scrape without permission.
• Use the Service to post unlawful, infringing, defamatory, obscene, or otherwise objectionable content.
• Use the Service to build a competing product or service.
• Violate any applicable law or rights of others.

5) Fees, Free Trials & Billing

• Fees. Some features require payment (one-time or subscription). You’ll see pricing before purchase. Subscriptions renew automatically unless cancelled at least 24 hours before the end of the current period through the method described in the Service.
• Payment Processing. Payments are processed by third-party processors (e.g., Stripe). By submitting payment information, you authorize us and our processor to charge your payment method for the amounts due. Additional card/network fees may apply.
• Trials. We may offer free trials. Manage or cancel as described in the Service.

6) Third-Party Services

The Service may integrate with third-party products (e.g., identity, analytics, communications). Your use of third-party services is governed by their terms and privacy policies. We do not control and are not responsible for third-party services.

7) Ownership & IP

The Service and all related content, software, templates, and updates (“Resify IP”) are owned by Resify and its licensors and are protected by intellectual property laws. Except for the limited license above, no rights are granted. All trademarks, logos, and service marks are the property of their respective owners.

8) User Content & Feedback

You retain ownership of content you submit (e.g., resumes, job descriptions, inputs). You grant Resify a worldwide, non-exclusive, royalty-free license to use, host, reproduce, modify, and display such content solely to provide and improve the Service.

If you provide feedback or suggestions, you grant Resify all rights to use them without restriction or attribution.

9) DMCA Notice

If you believe content on the Service infringes your copyright, send a notice including: (i) your signature, (ii) identification of the copyrighted work, (iii) identification of the infringing material and its location, (iv) your contact information, (v) a good-faith statement, and (vi) a statement under penalty of perjury of your authority. Send to: legal@resify.ai. You may submit a counter-notice as permitted by law.

10) Privacy Policy

Your use of the Service is subject to our Privacy Policy, which explains how we collect and use information.

11) Deactivation & Termination

We may restrict, suspend, or terminate your access to the Service at any time with or without notice, including for violations of these Terms or to protect the Service. Upon termination, your license ends. Sections intended to survive (e.g., IP, disclaimers, limitations, indemnity, disputes) will survive.

12) Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, RESIFY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE.

13) Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, RESIFY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. RESIFY’S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS PAID BY YOU TO RESIFY IN THE SIX (6) MONTHS PRECEDING THE CLAIM; OR (B) USD $100.

14) Indemnification

You will defend, indemnify, and hold harmless Resify and its affiliates, officers, directors, employees, and agents from any claim arising out of or related to your: (i) use of the Service, (ii) violation of these Terms, or (iii) violation of any law or third-party right.

15) Dispute Resolution & Arbitration; No Class Actions

• Agreement to Arbitrate. You and Resify agree to resolve any dispute arising out of or relating to these Terms or the Service by binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Rules, except as provided below. You waive the right to a jury trial.
• Venue & Governing Law. The Federal Arbitration Act applies. Unless you and Resify agree otherwise, the arbitration will be held in New York, New York, or conducted by telephone/video or on written submissions as appropriate.
• No Class Actions. Disputes will be resolved only on an individual basis and not in a class, consolidated, or representative action.
• Opt-Out. You may opt out of arbitration within 30 days of first accepting these Terms by emailing legal@resify.ai (or support@resify.ai) with your full name and a statement that you opt out of arbitration.
• Small Claims & Injunctive Relief. Either party may bring an individual action in small claims court and seek injunctive relief in court to prevent misuse or infringement of intellectual property.

16) Governing Law

These Terms are governed by the laws of the State of New York, excluding its conflicts-of-law rules, and applicable U.S. federal law, except as preempted by the Federal Arbitration Act.

17) Miscellaneous

• Assignment. You may not assign these Terms without our consent; we may assign them without restriction.
• Severability. If any provision is unenforceable, the remainder remains in effect.
• No Waiver. Failure to enforce a provision is not a waiver.
• Entire Agreement. These Terms constitute the entire agreement regarding the Service and supersede prior agreements.
• Notices. Notices to Resify: legal@resify.ai. We may provide notices via the Service or email.
• Force Majeure. We are not liable for delays due to events beyond our reasonable control.
• Apple Notice (iOS). Apple is not responsible for the Service; you acknowledge Apple as a third-party beneficiary solely to enforce applicable terms.
